This Agreement governs the association between DMV Care Solutions Private Limited, operating under the brand name “Caring Squad” (“Platform”), and the Healthcare Professional (“Professional”) participating in the Caring Squad Healthcare Network.
By accepting this Agreement, the Professional agrees to the following terms and conditions.
1. Purpose
Caring Squad is building India’s Expert Care Network with the mission:
“Connecting Every Indian to the Right Healthcare Expert.”
The Professional agrees to participate in and support this mission while complying with the terms of this Agreement.
2. Professional Eligibility & Declaration
The Professional confirms that:
- All information submitted is true, complete, and accurate.
- Qualifications, registrations, licenses, certifications, and professional credentials are valid.
- The Professional is legally authorized to practice within their profession.
- Any suspension, cancellation, disciplinary action, or restriction relating to professional practice shall be immediately disclosed to Caring Squad.
- Submission of false, misleading, or incomplete information may result in suspension or termination.
3. Independent Professional Status
The Professional acknowledges that:
- This Agreement does not create an employer-employee relationship.
- The Professional acts as an independent consultant.
- Caring Squad acts as a healthcare access, coordination, facilitation, and patient-connect platform.
- The Professional retains responsibility for all professional advice, recommendations, prescriptions, and decisions.
4. Professional Responsibilities
The Professional shall:
- Maintain professional ethics and conduct.
- Provide services within their area of competence.
- Respect patient dignity, privacy, and confidentiality.
- Attend confirmed consultations responsibly.
- Maintain valid registrations and licenses.
- Follow applicable laws, regulations, and professional guidelines.
- Avoid misleading, false, or exaggerated claims.
5. Consultation Standards
The Professional agrees that:
- Online consultations are not a substitute for emergency medical care.
- Appropriate referrals shall be made whenever necessary.
- Professional advice shall be based on available information and professional judgment.
- Consultation records shall be maintained where required by law or professional guidelines.
- Services shall be provided in a responsible, ethical, and professional manner.
6. Teleconsultation Compliance
Where applicable, the Professional agrees to comply with Telemedicine Practice Guidelines, Medical Council guidelines, healthcare regulations applicable to their profession, and other relevant laws and regulations. The Professional remains solely responsible for professional and regulatory compliance.
7. Patient Confidentiality & Data Protection
The Professional shall:
- Maintain confidentiality of patient information.
- Use patient information solely for authorized consultation purposes.
- Not sell, transfer, distribute, disclose, or misuse patient information.
- Take reasonable precautions to protect patient data.
These obligations shall continue even after termination of association.
8. Non-Circumvention & Patient Protection
The Professional acknowledges that patients introduced through Caring Squad are platform-generated patients. The Professional shall not:
- Solicit such patients outside the platform.
- Encourage direct future transactions.
- Request direct payments from patients.
- Redirect patients to personal booking channels.
- Share alternative consultation arrangements intended to bypass Caring Squad.
The Professional shall not directly or indirectly encourage, advise, request, or influence any patient introduced through Caring Squad to bypass the platform for consultations, appointments, payments, follow-ups, or healthcare services. This obligation shall continue during the association and for twelve (12) months following termination.
9. Non-Solicitation
The Professional agrees not to recruit or hire Caring Squad employees, consultants, coordinators, contractors, or representatives; encourage Caring Squad personnel to leave the organization; or use Caring Squad resources for personal recruitment purposes. This obligation shall remain valid for twelve (12) months after termination.
10. Communication Policy
Unless specifically approved by Caring Squad, the Professional shall not share personal contact details with patients for direct commercial engagement, request patient contact details for independent business purposes, or conduct direct commercial transactions with platform-generated patients outside Caring Squad.
The Professional may communicate with patients through channels approved, assigned, or facilitated by Caring Squad for consultation, scheduling, follow-up, patient care, and related healthcare services. Follow-up consultations shall be routed through Caring Squad approved processes.
11. Professional Profile & Information Updates
The Professional agrees to promptly inform Caring Squad regarding any changes to contact details, qualifications, registration status, practice status, consultation fees, availability schedules, banking details, and any information relevant to participation in the Caring Squad network. The Professional remains responsible for ensuring all information remains accurate and updated.
12. Fees, Payments & Commercial Terms
The Professional acknowledges and agrees that:
- Consultation fees declared through Caring Squad registration, onboarding, activation forms, or approved channels shall be considered the applicable professional fees.
- Such fees shall remain valid until revised by the Professional and updated or approved by Caring Squad.
- Any revision in consultation fees or charges must be communicated to Caring Squad in advance through written communication, email, or approved channels.
- Revised fees shall become applicable only after confirmation, update, or approval by Caring Squad.
Caring Squad may charge separate Platform Fees, Care Coordination Fees, Convenience Fees, Service Fees, Technology Fees, Processing Fees, and Administrative Charges. These charges shall be independent of the Professional’s consultation fees.
Commercial models, payout schedules, platform charges, settlement cycles, operational policies, participation benefits, promotional programs, and Founding Expert benefits may be revised by Caring Squad from time to time. Continued participation in the Caring Squad network shall constitute acceptance of such revisions.
Payouts shall be processed subject to applicable platform policies, refunds, cancellations, disputes, taxes, and deductions.
13. Refunds, Cancellations & Rescheduling
Caring Squad reserves the right to process patient refunds, handle cancellations, manage rescheduling requests, and investigate disputes. Professional payouts may be adjusted where consultations are cancelled due to no-show, service failure, misconduct, or policy violations.
14. Ratings, Feedback & Quality Review
The Professional acknowledges that patients may provide feedback and ratings. Caring Squad may display reviews, ratings, badges, recognition levels, service indicators, or quality metrics. Repeated complaints or poor service quality may result in suspension, reduced visibility, or termination.
15. Profile, Branding & Marketing Consent
The Professional authorizes Caring Squad to use and publish their name, professional title, qualifications, specialization, experience, profile information, photograph, videos, educational content, interviews, testimonials (where permitted), and other professional information for profile listing, healthcare awareness, patient education, website listings, mobile applications, social media, digital marketing, branding, promotional campaigns, public relations, community initiatives, and other business activities related to Caring Squad.
The Professional grants Caring Squad a non-exclusive, royalty-free right to use such information during the period of association with Caring Squad. The Professional may request correction of inaccurate profile information at any time.
All Caring Squad trademarks, logos, branding, content, databases, technology, marketing materials, platform assets, and intellectual property shall remain the exclusive property of Caring Squad. Upon termination of association, Caring Squad may continue to retain and display historical records, previously published content, marketing materials, testimonials, and references created during the period of association.
16. Platform Rights
Caring Squad reserves the right to approve or reject applications, verify credentials, request additional documentation, suspend or deactivate profiles, remove listings, investigate complaints, and modify platform policies and procedures. Such decisions shall be final and binding.
17. No Guarantee of Patient Volume
The Professional acknowledges that Caring Squad does not guarantee any minimum number of consultations, patient assignments, referrals, visibility, earnings, revenue, business opportunities, or professional engagement. Patient assignment and consultation opportunities shall depend upon multiple factors including availability, specialization, patient requirements, location, service demand, and operational considerations.
18. Indemnity
The Professional agrees to indemnify and hold harmless Caring Squad against claims arising from professional negligence, misrepresentation, violation of laws, ethical misconduct, breach of this Agreement, and improper professional conduct.
19. Limitation of Liability
Caring Squad acts solely as a facilitator and coordinator. Professional responsibility remains solely with the Professional regarding diagnosis, recommendations, prescriptions, advice, treatment decisions, and professional judgments. Caring Squad shall not be liable for professional decisions made by the Professional.
20. Termination
Caring Squad may immediately suspend or terminate association in cases involving fraud, ethical misconduct, patient safety concerns, regulatory violations, data misuse, reputational harm, or breach of this Agreement. The Professional may terminate association by providing thirty (30) days written notice.
21. Survival of Obligations
The following obligations shall survive termination: Confidentiality, Data Protection, Non-Circumvention, Non-Solicitation, Intellectual Property, and Indemnity.
22. Dispute Resolution & Jurisdiction
The parties shall first attempt to resolve disputes amicably. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of courts located in Ahmedabad, Gujarat, India.
23. Modification of Terms
Caring Squad reserves the right to amend, modify, update, replace, or revise these terms at any time. Continued participation after notification of such changes shall constitute acceptance of the revised terms.
24. Declaration & Acceptance
I confirm that:
- I have read and understood this Agreement.
- I possess valid professional qualifications and registrations.
- I agree to comply with Caring Squad policies and procedures.
- I agree to maintain confidentiality and professional standards.
- I agree not to bypass, divert, or solicit patients introduced through Caring Squad.
- I support Caring Squad’s mission of improving healthcare accessibility across India.
I further acknowledge that submission of any Caring Squad onboarding form, activation form, electronic acceptance, digital signature, email confirmation, checkbox acceptance, or platform-based acceptance shall constitute valid acceptance of this Agreement.
